FAQ List List

What are the biggest risks of using an AI-generated contract without attorney review?

The biggest risk is the illusion of security. An AI contract might look highly professional, but it often lacks critical protections like proper limitation of liability, enforceable non-compete/non-solicitation parameters, clear dispute resolution mechanisms, or accurate choice-of-law clauses. If a dispute arises later, an unverified AI contract can easily crumble under legal scrutiny, costing you thousands of dollars in litigation.

Will it save me money if I bring you an AI-drafted contract instead of having you write it from scratch?

In many cases, yes. Bringing us a well-structured baseline draft can reduce the time our attorneys spend on initial drafting, which translates to a lower, more efficient legal bill for you. However, if the AI tool generated a heavily flawed or legally risky document, we may need to perform a deeper rewrite to ensure your business isn't left exposed to liability.

Can you review any type of contract that I’ve generated using an AI tool?

Yes. We regularly review and fortify a wide range of AI-generated business documents, including Non-Disclosure Agreements (NDAs), Master Service Agreements (MSAs), independent contractor agreements, vendor contracts, and website terms of service. If you’ve generated it, we can audit it.

I already used AI to write my contract. Why do I still need a lawyer to look at it?

AI is an incredible tool for brainstorming and structure, but it is not a lawyer. AI models frequently suffer from "hallucinations" (inventing non-existent legal statutes) or inserting generic "boilerplate" language that might actually conflict with your state’s specific laws. A lawyer ensures that your contract is not just grammatically correct, but legally enforceable, practical, and tailored to protect your unique business assets.

How do we get started working with your firm?

Every relationship begins with an initial consultation. During this meeting, we will discuss your current business landscape, immediate legal pressures, and long-term goals. From there, we provide a clear proposal outlining our recommended legal strategy, scope of work, and fee structure.

What is the Corporate Transparency Act (CTA), and does our company need to comply?

The Corporate Transparency Act is a federal regulation requiring most small and mid-sized businesses to report their Beneficial Ownership Information (BOI) to the Financial Crimes Enforcement Network (FinCEN). Failing to comply can result in severe daily penalties. As part of our Corporate Governance practice, we help our clients determine their reporting status and file the necessary paperwork accurately. If your LLC is a U.S. domestic entity, you generally do not have to file a Beneficial Ownership Information (BOI) report under the Corporate Transparency Act.

What are the benefits of choosing a boutique business law firm over a large corporate firm?

Large law firms often come with layers of bureaucracy, high overhead costs, and a rotating door of junior associates handling your file. As a boutique firm, we offer direct access to experienced, senior-level attorneys who understand your business intimately. You get the same sophisticated legal acumen as a "Big Law" firm, but with the agility, responsiveness, and cost-efficiency of a dedicated partner.

Can a smaller firm handle complex transactions like private equity deals or corporate mergers?

Absolutely. Our size is our strength, not a limitation. Our attorneys have extensive backgrounds in high-stakes corporate law and private equity. Because we are selective about our caseload, we can dedicate intense, focused bandwidth to your transaction, managing due diligence and structuring deals with meticulous attention to detail that often gets lost in larger firms.

Do you handle litigation if my business ends up in a dispute?

Our core practice is transactional and advisory, meaning we focus on building ironclad structures and contracts that keep you out of court. However, if a commercial dispute arises, we aggressively advocate for your interests during negotiations. Should the matter require formal courtroom litigation, we partner with a trusted network of specialized trial attorneys while continuing to act as your strategic corporate counsel.

What is "General Transactional Counsel," and does my business need it?

Think of General Transactional Counsel as having an outsourced Chief Legal Officer. Many growing companies need ongoing legal advice, such as reviewing employment contracts, vetting vendor agreements, or advising on operational risk, but aren't ready to hire a full-time, in-house lawyer. We step into that role seamlessly, giving you on-demand legal infrastructure at a fraction of the cost.

We are a fast-growing startup. At what point should we formally retain a lawyer?

The best time is before you take external money or formalize partnerships. We highly recommend establishing a legal foundation during entity formation to properly structure founder equity splits, intellectual property (IP) assignments, and initial seed rounds. Addressing these early prevents incredibly costly and disruptive "clean-up" work down the road when investors begin looking at your books.

Navigating liquor licensing seems overwhelming. How long does the process usually take?

Liquor and hospitality licensing varies wildly depending on your local municipality and state regulations, often taking anywhere from a few months to over half a year. Because the regulations are dense and unforgiving, even a minor paperwork error can reset your timeline. We manage the entire pipeline, from zoning verification and application submission to community board hearings to get your doors open as quickly as possible.

What is the difference between Corporate Formation and Corporate Governance?

Formation is the act of birthing the business, choosing whether to be an LLC, C-Corp, or S-Corp and filing with the state. Governance is the ongoing framework that dictates how that business is run. Governance involves drafting operating agreements, establishing board responsibilities, maintaining fiduciary duties, and ensuring compliance so that the corporate entity remains valid and legally protected from personal liability.

How does your firm handle billing and legal fees?

We believe in financial predictability for businesses. Depending on the nature of the project, we offer transparent billing models, including traditional hourly rates, fixed flat fees for standard projects (like entity formation or specific contract drafting), and monthly subscription retainers for our ongoing General Transactional Counsel clients. We map out estimated costs upfront so there are no surprises on your invoice.

Can you review or draft contracts if my business operates across multiple states?

es. Modern commerce rarely stops at state lines. We routinely structure supply chain, procurement, and commercial agreements that involve interstate and international trade. We ensure your contracts feature strong choice-of-law and forum-selection clauses to protect your business, regardless of where your clients, vendors, or manufacturing hubs are located.

How quickly can I expect a response when I reach out with a question?

We pride ourselves on responsiveness. Because we limit the number of clients we take on, we generally respond to all emails and phone calls within one business day. If an urgent, time-sensitive transaction or regulatory issue arises, our structure allows us to pivot quickly to provide immediate support.
